Grey market means that they are being sold by an unauthorized dealer. Authorized dealers are required to maintain minimum advertised pricing, or risk losing their franchise as an 'Authorized Dealer'.

For example- you buy a pair or grey market Zeiss binocs for a few $hundred less than everywhere else. Something goes wrong with them 2 years down the road... You phone Zeiss USA to discuss the problem, and from the serial # you give them they tell you you have bought 'grey market' product and they are unable to help you... click!

Now you have to find the phone number for Zeiss Europe... Speak German? The cost to ship the binocs to Europe for repair (at your expense) will likely exceed the savings you made on the initial purchase.

I just used Zeiss as an example, don't take this scenario literally.
